This privacy policy (this “Policy”) describes how Propagate Group, PBC (“Propagate”, “us”, “our”, and “we”) collects, uses, shares, and safeguards information related to individuals who interact with us, including by using our website found at: overyield.com (the “Site”) or by accessing our services through Platform (collectively referred to as, “Personal Data”). This Policy supplements the Terms of Service found at: overyield.com/terms-of-service posted elsewhere within the Site. Please read this Policy and the Terms of Service carefully. Capitalized terms used but not otherwise defined in this Policy shall have the meaning set forth in the Terms of Service.

This Policy applies to Personal Data we collect when you:

  • Visit the Site or branded social media pages;

  • Create an account on our Platform (“Account”);

  • Use our products or services (“Services”); and

  • Communicate with us such as through emails, phone calls, texts, and social media. 

If you provide us with the Personal Data of other individuals, you represent that you have the authority and consent (if required) to do so. You also acknowledge that such Personal Data may be used in accordance with this Policy. 

By visiting the Site or using the Platform or our Services, you agree to be bound by all of the terms, conditions, and notices contained or referenced in this Policy. We may change the Policy at any time by posting revisions to the Policy on the Site. You should review the Policy from time to time to ensure you are familiar with our most recent revision. Your continued use of the Site or Platform constitutes your acceptance of the revised Policy. If you do not agree with the terms of this Policy, please do not access the Site or Platform.  

PROTECTING YOUR INFORMATION

We take information security seriously, and we use administrative, technical, and physical safeguards to protect the Personal Data we collect from unauthorized access, use, or disclosure. However, no system can be completely secure, and we cannot guarantee that we will prevent every unauthorized attempt to access, use, or disclose your Personal Data.

INFORMATION WE COLLECT

We collect information about you in the following ways:

  • Information You Give Us. We collect your contact details such as your name, postal address, email address, account name/username, password and phone number. We also collect information that you provide to us when you use our Services through the Platform, such as billing information. 

Any interactions you have with us through our Site or Platform, such as via chat or phone call, may be recorded and monitored so that we can better serve our customers, for quality control, analytics, and to protect us and our property in the event of a legal dispute. This information will be processed and maintained consistent with this Policy.

  • Information Collected from Others. We may receive information about you from other sources, such as customer relationship management services. We may obtain information from third parties from whom we purchase Personal Data and from publicly available information.

  • Information Collected Automatically When You Visit Our Website or Platform. We automatically collect information about you and your computer when visiting our Site or Platform. For example, we log information such as your IP address, computer operating system type, browser type, browser language, the website you visited before browsing to our Site, pages you viewed, how long you spent on a page, access times, and information about your use of and actions on our Site. When you browse our website, we may also collect certain electronic information, such as your computer’s IP and MAC address.

  • Cookies. We may collect information using “cookies” or similar technology. Cookies are small data files that can be stored on your hard drive by a website. We may use both session cookies (which expire once you close your web browser) and persistent cookies (which stay on your computer until you delete them) to provide you with a more personal and interactive experience on our Site or our Platform. This type of information is collected to make the Site or Platform more useful to you and to tailor the experience with us to meet your special interests and needs. With many web browsers, you can choose to change your settings to disable or decline cookies. Please be aware, however, that cookies may be required to complete certain functions on the Site or Platform. The Site and Platform also use Fullstory, a web analytics service that collects emails for Propagate’s internal use. It does not collect names or other identifying information and we do not combine the information collected through Google Analytics with any personally identifiable information. The Fullstory Privacy and Security Guide restricts Fullstory’s ability to use and share information collected by Fullstory about visitors to the Site or Platform.

Some browsers have incorporated “Do Not Track” features. Most of these features, when turned on, send a signal or preference to the website or online service that a user visits, indicating that the user does not wish to be tracked. Because there is not yet a common understanding of how to interpret Do Not Track signals, we do not currently respond to those signals. HOW INFORMATION IS USED AND SHARED

We use the information we collect from you and information we collect about you from others as described herein and to:

  • provide the Services you request, including confirmations and technical support;

  • create, manage, and service your Account;

  • tell you about products and services that may be of interest to you;

  • analyze the use of our Site, our Platform and our Services;

  • develop new products and services and improve our existing Services;

  • understand how you arrived at the Site and/or the Platform;

  • manage the Site, the Platform and any Services;

  • enforce our Terms of Service; 

  • enforce the terms of this Policy; and

  • respond to legitimate law enforcement or government access requests.

We may share Personal Data with others as follows:

  • We may share Personal Data with those who need it to do work for us, for example third party service providers who provide data processing services to us, marketing agencies, advertising partners, website hosts, or third parties who otherwise process personal information for purposes such as credit card processing, customer service, and fraud prevention.

  • We may share Personal Data when we do a business deal or negotiate a business deal. These deals can include any merger, financing, acquisition, or bankruptcy transaction or proceeding.

  • We may share your Personal Data for legal, protection, and safety purposes.

    • We may share information to comply with laws.

    • We may share information to respond to lawful requests and legal processes.

    • We may share information to protect the rights and property of Propagate, our agents, customers, and others. This includes enforcing our agreements, policies, and terms of use.

    • We may share information in an emergency. This includes protecting the safety of our employees and agents, our customers, or any person.

  • We may share Personal Data with your consent. Those uses will be subject to this Policy.

In addition to the foregoing, we may also disclose the Personal Data (1) when required by law or to respond to legal process or lawful requests, including from law enforcement; (2) when we believe it is necessary to prevent, investigate, or address (a) possible illegal activities, including fraud, (b) a violation of our Terms of Service, (c) a violation of this Policy, or (d) a threat to the physical safety of any person; or (3) to protect our rights or property.  We do not otherwise share our customers’ Personal Data. 

A NOTE ABOUT CHILDREN

Our Site and Platform are not directed at children. We do not intentionally gather Personal Data from visitors who are under the age of 16. If a child under 16 submits Personal Data to us and we learn that the Personal Data is the information of a child under 13, we will attempt to delete the information as soon as possible. 

LINKS TO THIRD-PARTY WEBSITES. 

The Site may contain links to other websites. We are not responsible for the privacy practices or the content of those other we sites. We encourage you to read the privacy policies of every website you visit. The links to third party websites or locations are for your convenience and do not signify our endorsement of such third parties or their products, content or websites.

California law permits California residents to make certain requests of us regarding the personal information we have about them. Specifically, California law provides residents with the right to request that we disclose what personal information we collect, use, disclose, and sell about them. (As noted above, we do not sell personal information to third-parties.) USERS FROM OUTSIDE THE UNITED STATES. 

If you are a visitor from a jurisdiction that has adopted the General Data Protection Regulation (“GDPR”) or equivalent, such as the European Economic Area (“EEA”), our legal basis for collecting and using the personal information described above depends on the personal information concerned and the specific context in which we collect it. 

Propagate normally collects personal information from you only where we have your consent to do so, where we need the personal information to perform a contract with you, or where the processing is in our legitimate interests and not overridden by the impact on you (unless our processing is otherwise required or permitted by law). In some cases, we may also have a legal obligation to collect personal information from you or may otherwise need the personal information to protect your vital interests or those of another person. We may transfer your personal information to a country outside the EEA in accordance with requirements prescribed under EU Data Protection Legislation.

We ask that you not provide us with any Special Category Personal Data (as defined in the GDPR), e.g., information related to racial or ethnic origin, political opinions, religion or other beliefs, health, biometrics or genetic characteristics, or trade union membership, or any criminal background information. If you do not consent to our processing and use of such sensitive information, you must not submit such sensitive information through the Site.
